1. Parties and Agreement

These Terms and Conditions (“Terms”) govern the relationship between RJV Technologies Ltd, a private limited company incorporated in England and Wales (Company No. 11424986, registered address in the United Kingdom) (“RJV Technologies”, “we”, “us”, “our”) and any individual or organisation (“Client”, “you”, “your”) that accesses this website at rjvtechnologies.com or engages RJV Technologies for consulting, advisory or technology services.

By accessing our website or engaging our services, you agree to be bound by these Terms.

If you do not agree, you should not use our website or engage our services.

These Terms are governed by the laws of England and Wales.

Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

2. Services

RJV Technologies provides enterprise technology consulting services including but not limited to business continuity planning, disaster recovery architecture, cloud migration strategy, AI systems engineering, digital transformation advisory and cybersecurity and enterprise resilience consulting.

All consulting engagements are governed by a separate Statement of Work or engagement letter (“SOW”) agreed in writing between RJV Technologies and the Client prior to commencement of work.

Where any conflict exists between these Terms and a SOW, the SOW shall prevail.

No engagement commences until a SOW has been signed by both parties.

RJV Technologies provides advisory and strategic consulting services.

The implementation of any recommendations remains the responsibility of the Client unless RJV Technologies has expressly agreed in a SOW to undertake such implementation.

3. Fees, Payment and Pricing

Fees for all engagements are set out in the applicable SOW and are agreed in writing before work commences.

RJV Technologies operates on a fixed price model for defined engagements.

All fees are quoted exclusive of VAT (where applicable).

VAT will be charged at the prevailing UK rate where applicable.

Unless otherwise agreed in writing, payment terms are 50% of the total engagement fee due upon commencement of work and 50% due upon delivery of the final deliverable or milestone as specified in the SOW.

Invoices are payable within 30 days of issue.

Late payment interest may be charged at 8% above the Bank of England base rate per annum in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

Any indicative pricing published on this website or provided in preliminary discussions is for guidance only and does not constitute an offer.

The binding price for any engagement is that set out in the signed SOW.

RJV Technologies reserves the right to revise published guidance pricing at any time without notice.

4. Intellectual Property

Website content: All content on this website, including but not limited to text, graphics, logos, images, blog articles, research publications and the RJV Technologies name and branding, is the intellectual property of RJV Technologies Ltd or its licensors and is protected by applicable copyright, trade mark and other intellectual property laws.

No content may be reproduced, distributed, modified or used for any commercial purpose without the prior written consent of RJV Technologies.

Engagement deliverables: Unless otherwise expressly agreed in writing in the applicable SOW, all intellectual property in deliverables, methodologies, frameworks, architectures and other materials created by RJV Technologies in the course of an engagement, including any underlying tools, models and proprietary frameworks, remains the property of RJV Technologies.

Upon full payment of all fees due, RJV Technologies grants the Client a non exclusive, non transferable, perpetual licence to use the specific deliverables described in the SOW for the Client’s own internal business purposes.

Patent portfolio: RJV Technologies holds international patent applications (GB2598745, US17/892,456, EP22168432, WO2024/GB001) covering aspects of its analytical framework and methods.

These patents and applications remain the exclusive property of RJV Technologies.

Nothing in these Terms or any engagement grants any licence to these patents.

Client materials: The Client retains all intellectual property rights in materials, data, systems and information provided to RJV Technologies for the purposes of an engagement.

The Client grants RJV Technologies a limited licence to use such materials solely for the purposes of performing the engagement.

5. Confidentiality

Both parties agree to treat as confidential all information received from the other party in connection with an engagement that is marked as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure (“Confidential Information”).

Neither party shall disclose the other’s Confidential Information to any third party without the prior written consent of the disclosing party, except as required by law or regulation.

Confidentiality obligations survive the termination of any engagement for a period of five years.

Where the parties execute a separate Non Disclosure Agreement in relation to a specific engagement, the terms of that NDA shall supplement (and where inconsistent, prevail over) this clause.

6. Limitation of Liability

To the maximum extent permitted by applicable law, RJV Technologies’ total aggregate liability to the Client for any and all claims arising out of or in connection with an engagement or these Terms, whether in contract, tort (including negligence), breach of statutory duty or otherwise, shall not exceed the total fees paid by the Client to RJV Technologies under the relevant SOW in the twelve months immediately preceding the event giving rise to the claim.

In no event shall RJV Technologies be liable for any indirect, incidental, special, consequential or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of business or loss of anticipated savings, even if RJV Technologies has been advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

Our consulting services are provided based on the information available to RJV Technologies at the time of the engagement and the information provided by the Client.

The accuracy and completeness of information provided by the Client is the Client’s responsibility.

RJV Technologies accepts no liability for outcomes that result from inaccurate, incomplete or misleading information provided by the Client.

7. Cancellation and Termination

Either party may terminate an engagement by providing written notice as specified in the applicable SOW.

In the event of termination by the Client without cause, the Client shall pay for all work completed to the date of termination, calculated on a pro rata basis against the total SOW fee, plus any reasonable costs and expenses incurred by RJV Technologies that cannot be recovered.

The initial commencement payment (50%) is non-refundable upon commencement of work.

RJV Technologies may terminate an engagement immediately in the event that the Client:

Fails to pay any invoiced amount within 30 days of the due date;

Provides materially false or misleading information;

Acts in a manner that is unlawful, unethical or harmful or

Breaches any material term of these Terms or the applicable SOW.

Upon termination for any reason, all licences granted to the Client in deliverables are conditional on full payment of all outstanding fees.

8. Website Use

While we endeavour to keep the information on this website accurate and up to date, we make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, suitability or availability of the website or the information, products, services or related graphics contained on the website for any purpose.

You must not use this website in any way that causes or may cause, damage to the website or impairment of the availability or accessibility of the website or in any way which is unlawful, illegal, fraudulent or harmful or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity.

Unauthorised use of this website may constitute a criminal offence under the Computer Misuse Act 1990 and may give rise to a claim for damages.

This website may contain links to third party websites.

RJV Technologies has no control over the content of those sites and accepts no responsibility for them or for any loss or damage that may arise from your use of them.

9. Data Protection

RJV Technologies processes personal data in accordance with the UK General Data Protection Regulation (UK GDPR), the Data Protection Act 2018, and our Privacy Policy which is incorporated into these Terms by reference.

By engaging our services or using this website, you confirm that you have read and understood our Privacy Policy.

Where RJV Technologies processes personal data on behalf of the Client as a data processor, the parties will enter into a Data Processing Agreement in accordance with Article 28 UK GDPR.

Where RJV Technologies processes personal data as a data controller (for example, contact data of the Client’s representatives), this is governed by our Privacy Policy.

10. Force Majeure

Neither party shall be liable to the other for any delay in or failure of performance of its obligations under these Terms or any SOW to the extent that such delay or failure is caused by a Force Majeure Event.

A “Force Majeure Event” means any event beyond the reasonable control of the affected party including but not limited to acts of God, acts of government, pandemic, war, terrorism, civil unrest, fire, flood, earthquake, power failure or internet service provider failure.

The affected party shall notify the other party as soon as reasonably practicable of the Force Majeure Event and its expected duration.

If a Force Majeure Event continues for more than 60 days, either party may terminate the relevant engagement by written notice without liability, save for payment for work completed to the date of termination.

11. Anti-Bribery and Ethics

RJV Technologies complies with the Bribery Act 2010 and does not engage in, condone or facilitate bribery or corrupt practices in any form.

Neither party shall offer, give, request or accept any financial or other advantage intended to improperly influence any business decision in connection with any engagement.

Both parties agree to maintain adequate procedures to prevent bribery within their respective organisations.

12. Amendments

RJV Technologies reserves the right to amend these Terms at any time.

The current version of these Terms is published on this page with a “Last reviewed” date.

Continued use of this website or our services after any amendment constitutes acceptance of the revised Terms.

For active engagements governed by a signed SOW, the Terms in force at the date of signing the SOW shall apply for the duration of that engagement unless both parties agree in writing to adopt the revised Terms.

13. Entire Agreement

These Terms, together with any applicable SOW, NDA and Data Processing Agreement, constitute the entire agreement between RJV Technologies and the Client with respect to the subject matter hereof and supersede all prior agreements, representations, warranties and understandings, whether oral or written.

No waiver of any provision of these Terms shall be effective unless made in writing and signed by an authorised representative of RJV Technologies.
